1. Who we are

Rubicon Fusion is a software development studio operated by King Legend, Inc. and 15145597 Canada Inc. ("we", "us", "our"). References to "you" mean any visitor or client.

2. Use of the website

You may use this website for lawful purposes only. You agree not to:

• Use the site in any way that breaches applicable laws or regulations.
• Attempt to gain unauthorized access to our systems or interfere with their operation.
• Copy, scrape, or reproduce our content without permission, except as permitted by law.

3. Services & engagement

Any software development, consulting, or related services we provide are governed by a separate written agreement (such as a proposal, statement of work, or master services agreement). Where those documents conflict with these Terms, the signed agreement prevails for the engagement it covers.

4. Intellectual property

Our materials

The website, our branding, logos, and content are owned by us or our licensors and are protected by intellectual-property laws. Nothing here grants you a license to our trademarks.

Client deliverables

Unless your engagement agreement states otherwise, ownership of custom deliverables transfers to the client upon full payment. We retain rights to our pre-existing tools, libraries, and know-how. You own your code — that is a core commitment of how we work.

5. Fees & payment

Fees, payment schedules, and terms are set out in your engagement agreement. Late or unpaid amounts may, where the agreement permits, suspend work or delay delivery and transfer of deliverables.

6. Confidentiality

Information exchanged in the course of an engagement is protected under our Confidentiality Policy and any non-disclosure terms in your agreement.

7. Warranties & disclaimers

We provide our services with reasonable skill and care. Except as expressly stated in a signed agreement, the website and any freely available content are provided "as is" without warranties of any kind, to the fullest extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, or consequential damages arising from your use of the website. Liability arising from a paid engagement is governed by the limitations in the applicable signed agreement.

9. Third-party links

Our website may link to third-party sites we do not control. We are not responsible for their content or practices.

10. Governing law

These Terms are governed by the laws of Canada and the federal laws applicable therein, without regard to conflict-of-laws principles. Disputes will be subject to the courts having jurisdiction in Canada.

11. Changes

We may revise these Terms from time to time. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
